These terms are an agreement between MISC DIGITAL HOLDINGS LLC, a Florida limited liability company (“PassConsole”, “we”) and the organization that uses PassConsole (“you” or the “Organization”). By signing in to or using the PassConsole website, admin console, claim pages or related emails (the “Service”), you agree to these terms. If you accept them for an Organization, you confirm you have authority to do so.
The Service
PassConsole lets an Organization manage its members, design a membership pass, send each member a personal claim link, and let members save the pass to Google Wallet. Access starts with a Request, which we review. We may approve, decline or limit access, including limits on members and admins per Organization.
Accounts and sign-in
Admins sign in with an emailed link. Keep your email account secure and don’t share sign-in links or claim links. You are responsible for the actions of the admins you add, and you should remove admins who no longer need access.
Your responsibilities
- Give us accurate information and keep it up to date.
- You are the controller of your members’ data. You must have the right to give it to us, and you must tell members how you use it. You are responsible for any consent that applies, including for members who are minors.
- Only add people who are members, and only send claim links to them.
- Only upload logos, images and text you have the right to use.
- Follow the law that applies to you and your members, and the terms of Google Wallet and, when offered, Apple Wallet.

Acceptable use
Do not use the Service to break the law, send spam or misleading passes, impersonate others, interfere with or probe the Service, try to get around limits or access another Organization’s data, or put malicious or unlawful content on a pass.
Wallet providers
Passes are saved and shown by Google Wallet and, when offered, Apple Wallet. These are run by Google and Apple and are subject to their own terms. Apple Wallet is not available yet. Google Wallet is a trademark of Google LLC; Apple Wallet is a trademark of Apple Inc.; PassConsole isn’t affiliated with either. If a wallet provider is unavailable or changes, passes and claim links may not work, and we are not responsible for that.
Your content
You keep your rights in your member data and pass content. You give us permission to host, process and display it, and to send it to Google Wallet (and, when offered, Apple Wallet) and our other service providers, only as needed to provide the Service. You can export your member list as a CSV at any time from the console.
Fees
PassConsole does not charge through the Service at this time. If fees apply in the future, we will agree them with you in writing before they start.
Suspension and ending
You can stop using the Service at any time and ask us to delete your Organization’s data. We may suspend or end access if you break these terms, put the Service or other people at risk, or if we stop offering the Service. When an Organization is inactive or suspended, its members’ claim pages show a notice instead of issuing passes.
Changes to the Service and these terms
We may improve, change or remove features. We may update these terms and will post the new version here with a new effective date. If you keep using the Service after a change, you accept the updated terms.
Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including that the Service will be uninterrupted or error free.
Limit of liability
To the extent the law allows, PassConsole is not liable for indirect, incidental or consequential damages, or for lost profits or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim.
Governing law
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will be brought in the state and federal courts located in Florida, and you agree to their jurisdiction.
